Ardra AI — Terms of Use (2026 Edition)

1.1 Binding Agreement

By accessing or using the Platform, you acknowledge that you have read, understood, and accepted these Terms, along with our Privacy Policy and any additional policies applicable to your use.

1.2 Organizational Use

If you use the Platform on behalf of a company, government agency, or institution, you represent that you are authorized to bind that entity to these Terms.

1.3 Updates to Terms

Ardra AI may modify these Terms at any time. Significant changes will be communicated via email, platform notifications, or website updates. Continued use after updates constitutes acceptance.

2.1 Eligibility

To use Ardra AI, you must:

2.3 Prohibited Actions

• ●Circumvent security measures or access controls
• ●Interfere with performance or integrity of the Platform
• ●Use the Platform for fraudulent, harmful, or illegal activities
• ●Misuse AI-generated insights in ways that violate laws, safety standards, or organizational policies
• ●Sell, resell, or commercially exploit the Platform without written permission

3.1 Account Security

You are responsible for:

• ●Immediately reporting unauthorized access or suspicious activity

Ardra AI is not responsible for losses arising from compromised accounts due to user actions.

3.2 Compliance with Laws

You must comply with all applicable:

• ●Utility, facility, or enterprise mandates
• ●Data protection and privacy laws applicable to your region

3.3 Accurate Information

You must ensure that all account, identity, and business information provided is:

• ●Current
• ●Complete
• ●Updated as necessary

4.1 Data Processing

By using the Platform, you consent to the collection, storage, and processing of:

• ●Usage data
• ●Operational data
• ●AI interaction data

as described in our Ardra AI Privacy Policy (2026).

4.2 Enterprise Data

For enterprise customers:

• ●All operational and facility data remains the property of the enterprise
• ●Ardra AI processes this data solely for authorized purposes
• ●Data usage is governed by contract and Data Processing Addenda (DPA)

4.3 AI Interaction Data

User queries, voice inputs, and Genie AI interactions may be used to:

• ●Detect misuse
• ●Ensure platform quality

Data used for model training is anonymized unless expressly agreed otherwise.

5.1 Availability

The Platform is provided "as-is" and "as-available." We do not guarantee:

• ●Continuous uptime
• ●Zero interruptions
• ●Compatibility with all environments
• ●Immediate processing of all data streams

5.2 Updates and Modifications

Ardra AI may:

• ●Add or remove features
• ●Modify product behavior
• ●Release updates or upgrades
• ●Suspend or discontinue components of the Platform

Updates may occur without prior notice, especially for security or operational improvements.

5.3 Scheduled Maintenance

Certain services may be temporarily unavailable during scheduled maintenance windows. We will make reasonable efforts to notify users when possible.

6.1 Ownership

Ardra AI retains full ownership of:

• ●Cloud services (including Hypernova)
• ●EMS analytics systems
• ●Genie AI agent and intelligence layers
• ●User interface designs
• ●Documentation, content, and branding

6.2 Limited Use

Users are granted a limited right to use the Platform but not intellectual property rights. Users may NOT:

• ●Reproduce
• ●Copy
• ●Modify
• ●Distribute
• ●Create derivative works
• ●Use Ardra AI content outside approved purposes

without prior written consent.

To the maximum extent permitted by law, Ardra AI is not liable for:

• ●Indirect, special, incidental, or consequential damages
• ●Loss of profits, revenue, data, opportunities, or goodwill
• ●Business interruption or downtime
• ●Errors, omissions, or inaccuracies in AI-generated output
• ●Unauthorized access resulting from user negligence
• ●Use of the Platform in violation of these Terms

Ardra AI's total liability under these Terms is limited to the amount paid for services in the preceding 12 months.

8.1 Termination by User

You may stop using the Platform at any time and request account deletion.

8.2 Termination by Ardra AI

We may suspend or terminate access if:

• ●You violate these Terms
• ●You misuse the Platform
• ●Fraudulent or suspicious activity is detected
• ●Your subscription or enterprise contract expires
• ●Continued access poses security, operational, or legal risks

8.3 Effects of Termination

Upon termination:

These Terms are governed by the laws of the State of California, USA. Any disputes must be resolved exclusively in the courts located in San Francisco, California, USA. International users agree to this jurisdiction unless superseded by a separate enterprise agreement.
